A clash between two shareholders who own Vlora airport has now ended up in the courts, which in turn has blocked any movement with the company's shares.

The minority shareholder in this concession, Valon Ademi, has publicly accused Behgjet Pacolli of fraud. The core of the conflict between the two partners in the construction of the airport was the division of shares, where Ademi officially has 2% of them, but claims 47%.


There is also a notarial contract between the parties, signed immediately after the departure of the Turkish group YDA from the airport concession. This group owned 40 percent of the shares of Vlora airport, which it formally sold to Behgjet Pacolli's Mabco company for the symbolic amount of 4200 euros. On the same day, Mabco and 2A Group signed a new agreement for the division of shares, stipulating that Mabco would own 53 percent and 2A Group 47 percent of them. However, these contracts have not yet been registered with the National Business Center (NBC).

Meanwhile, Ademi's 2A Group company seeks to be officially recognized as the owner of 47 percent of the shares, relying on the notarial contract and full documentation of investments made over the last two years. On the other hand, Pacolli's Mabco disputes this claim and, as the consortium's main shareholder, has decided not to allow the change in the share structure.

The clash between them also led to the dismissal of the first administrator of the Vlora airport company, while the second resigned a few days ago.

Following the accusations among the shareholders, Valon Ademi filed a complaint against Pacolli and the court a few days ago imposed a precautionary measure against the company "Vlora International Airport - VIA" LLC, suspending any decision planned at the General Assembly of Partners, which was scheduled to be held on October 20, 2025.

The voting rights of the majority shareholder, the company "Mabco Constructions SA", of Pacolli have also been suspended until the registration of the contract for the sale of 49% of the capital shares of the company VIA sh.pk, transferred on April 3, 2025 to the buyer "2A Group" sh.pk.

The Tirana Prosecutor's Office has meanwhile launched a group of prosecutors to investigate the Vlora airport issue.

The investigation has been registered for 3 individuals: businessman Behgjet Pacolli with his brother Emin Pacolli, as well as citizen Nelson Çela, administrator of the parent company in Switzerland Mabco Construction SA. Citizen Nelson Çela was summoned to the Tirana Prosecutor's Office, who gave a deposition, and immediately afterwards signed his resignation as administrator of the company owned by Pacolli. All three are officially under investigation for fraud with serious consequences, computer fraud, and falsification of documents and acts.

Following these developments, Behgjet Pacolli reacted yesterday, saying that a campaign against him has been launched in Albania.

"What is this coordinated conspiracy in Albania against my name? Right now that the airport construction is coming to an end?! What are these insults? Who is orchestrating this smear campaign and why? I am no longer ready to make concessions on what is mine, but I will never accept anything that does not belong to me. I have made my honest contribution, with hundreds of millions of euros of investments, which come 100% from my personal assets, documented and guaranteed with my private funds and collateral. Not a single public penny — everything has come from my work, faith and sacrifice," Pacolli writes.

According to him, "I want to leave a legacy in Vlora, knowing full well that this investment will be difficult to recover. But one thing is certain: I can no longer tolerate this injustice, where my name, dignity and investment are being tarnished! I will face these organized attacks with the truth and facts in hand." /TCH/
